Terms of Service

1. Acceptance
By creating an account or using Honest MRR (the "Service"), you agree to these Terms. If you use the Service on behalf of an organization, you represent that you are authorized to bind it. Your use of the Service is also subject to our Privacy Policy.
2. The Service
Honest MRR connects to your billing providers using the credentials you supply — we ask for read-only ones wherever the provider offers them — and produces subscription analytics (MRR, churn, LTV, cohorts, and related reports). It can also ingest app-store reports for reconciliation, ad-account spend (via OAuth connections used only to read reports, or uploaded CSVs) for acquisition metrics, earnings reports you upload — or that we read daily from a report link you save — as realized revenue, web-traffic aggregates for context, and operating costs you enter for profit and runway estimates. It can generate investor updates and monthly statements and, at your choice, publish share links or a public metrics page.
With a Stripe key that allows it, we may also create one webhook endpoint in your Stripe account, so changes reach your reports as they happen. Figures are computed from the data your providers return; we aim for accuracy but the reports are provided for informational purposes.
3. Your account & team
You are responsible for safeguarding your login and for activity under your account. If you invite teammates, you choose each person's role when you invite them and are responsible for who you give access to; the organization owner can remove members at any time. Notify us promptly of any unauthorized use.
4. Authorized use of connected accounts
You may connect only accounts you own or are authorized to access — billing, app-store, ad, and traffic accounts alike — and save only report links to data you are entitled to share, using the most limited credentials the platform offers: read-only keys or read-only OAuth scopes where available. You are responsible for the credentials and links you provide and for having the right to share the underlying data with us. Your use of each connected platform remains governed by that platform's own terms.
5. Publishing & sharing
Share links, investor updates, the open-startup page, and the embeddable MRR badge publish only when you choose to create or enable them. They show your organization's name and aggregate metrics — never customer-level data — with your company profile if you set one, and an investor update also shows the notes you write for it. You are responsible for what you choose to make visible, for whom you share links with, and for any consequences of publishing your metrics.
A share link can't be withdrawn once you've sent it: it works until the expiry you pick when you create it (7, 30 or 90 days). You can disable the open-startup page and badge at any time; a badge image that was already displayed may stay cached for up to 10 minutes.
6. API access
The metrics API and import endpoints (see the API documentation) are provided for your own organization's use. API keys are read-only unless you create them with the import (write) scope. Keep your API keys secret — anyone holding a key can read your metrics and, if it carries the write scope, import data into your organization, until you revoke it. We may apply reasonable rate limits and may revoke keys that are abused.
7. Fees, plans & trials
Paid plans are billed in advance on a recurring basis at the rates shown on our pricing page and at checkout, with payment processed by Stripe. A free tier may be offered with usage limits, and we may change prices with notice effective from your next billing period. Taxes may apply.
Each account receives a 14-day free trial of Pro features, counted from when the account is created, no card required. When it ends, your organization moves to the free tier unless you subscribe, and billing connections beyond the free tier's limit stop syncing until you upgrade — the data they already brought in stays in your reports. Choosing the free tier or cancelling during the trial ends the trial at once, and nothing is charged.
When you switch between paid plans, the difference is prorated: moving up charges the price difference for the rest of the current billing period at once, and moving down credits the unused part of the higher plan to your account for future invoices. During a trial, moving up keeps the trial running, while moving down ends the trial and starts billing for the smaller plan at once.
Except where applicable law requires otherwise, all fees are non-refundable: when you cancel a paid plan, you keep access through the end of the current billing period, and no full or partial refunds are issued. If you purchase through a mobile app store (such as the Apple App Store or Google Play), that store processes your payment and its own refund policy applies to those purchases instead.
8. Cancellation & data
You can cancel at any time. A paid plan stays active through the end of the current billing period; cancelling during a trial ends it at once (see Fees, plans & trials).
Disconnecting a billing provider stops syncing it and deletes the credentials we stored for it; the data it already brought in stays in your reports unless your organization's owner also chooses to delete it. A webhook endpoint we created in your Stripe account stays there until you delete it in Stripe.
You can export your organization's data at any time. Deleting your organization cancels its subscription immediately, without refund, and deletes its data from our database at once and from our backups within 14 days. It does not delete your sign-in account or Stripe's records of the payments for your Honest MRR plan; contact us to delete your account.
9. Acceptable use
Don't misuse the Service: no unlawful use, no attempts to breach security or access other tenants' data, no reselling without permission, and no use that overloads or disrupts the Service.
10. Third-party services
The Service depends on the platforms you connect (billing providers, app stores, ad and traffic platforms) and on our infrastructure providers. We are not responsible for errors, omissions, or outages in data those platforms return, or for their decisions about your accounts. If a platform revokes or changes API access, related features may stop working until reconnected.
11. Intellectual property
We retain all rights in the Service and its software. You retain all rights in your data; you grant us the limited rights needed to operate the Service and produce your reports.
12. Disclaimers
The Service is provided "as is" and "as available," without warranties of any kind. We do not guarantee that reports are error-free or suitable for accounting, tax, or legal purposes. Projections, runway estimates, and benchmark comparisons are informational estimates — not forecasts you should rely on, and not financial, investment, or accounting advice.
13. Limitation of liability
To the maximum extent permitted by law, Honest MRR will not be liable for indirect, incidental, or consequential damages (including lost profits, lost revenue, or losses arising from decisions made in reliance on the reports), and our total liability is limited to the amounts you paid us in the 12 months before the claim.
14. Suspension & termination
We may suspend or terminate access for material violation of these Terms, abuse of the Service, or where required by law — with notice where practicable. You may stop using the Service at any time, and your organization's owner may delete the organization at any time.
15. Changes to the Service and these Terms
The Service evolves; features may change or be discontinued. We may update these Terms; material changes will be indicated by the "last updated" date and, where appropriate, a notice in the app. Continued use means acceptance.
16. Governing law
These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the state or federal courts located in Delaware, and you consent to their jurisdiction.
17. Miscellaneous
If any provision of these Terms is found unenforceable, the rest remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. These Terms and the Privacy Policy are the entire agreement between us regarding the Service.
